These Terms of Service ("Terms") govern your access to and use of the Next Deal website at nxtdeal.co, our advisory services, and our client platform (together, the "Services"). By accessing or using the Services, you agree to these Terms. If you do not agree, please do not use the Services.

1. Who we are

The Services are provided by Next Deal ("Next Deal," "we," "us," or "our"). You may contact us at jt@nxtdeal.co.

2. Our services

Next Deal provides business advisory services, the Next Deal OS platform, Atlas (an AI-powered advisor), and support in building AI agent workflows. Some features are informational or demonstrational in nature. We may add, change, or discontinue features at any time.

3. Not professional, legal, financial, or tax advice

Our Services, including any content and any output generated by Atlas or other AI features, are provided for general business and informational purposes. They are not a substitute for professional legal, financial, tax, accounting, or investment advice, and no attorney–client, fiduciary, or advisor relationship is created by your use of the site. You are responsible for your own business decisions and should consult qualified professionals before acting.

4. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services. By using the Services, you represent that you meet these requirements and that any information you provide is accurate.

5. Accounts and access codes

Access to the client area is invite-only and may require an access code or credentials. You are responsible for keeping your access details confidential and for all activity under your access. Do not share your access code with unauthorized parties, and notify us promptly of any suspected unauthorized use.

6. Acceptable use

You agree not to:

• Use the Services for any unlawful, fraudulent, or harmful purpose.
• Attempt to gain unauthorized access to the Services, other users' data, or our systems.
• Interfere with or disrupt the integrity or performance of the Services.
• Upload malware, or content you do not have the right to share.
• Copy, resell, or reverse-engineer the Services except as permitted by law.

7. Your content and documents

You retain ownership of the documents, materials, and other content you submit ("Client Content"). You grant Next Deal a limited, non-exclusive license to use, store, and process Client Content solely to provide the Services you request, including analysis by our team and by Atlas. You represent that you have the rights to share the Client Content and that it does not violate any law or third-party rights.

8. AI-generated outputs

Atlas and other AI features generate responses using automated systems. Outputs may be inaccurate, incomplete, or not suited to your specific circumstances, and should be independently verified before you rely on them. You are solely responsible for decisions you make based on AI-generated content.

9. Intellectual property

The Services, including our branding, text, design, software, and other materials (excluding Client Content), are owned by Next Deal or our licensors and are protected by intellectual property laws. We grant you a limited, revocable, non-transferable license to access and use the Services for your own business purposes. All rights not expressly granted are reserved.

10. Third-party services

The Services may rely on or link to third-party tools and websites. We are not responsible for third-party services, and your use of them is governed by their own terms and policies.

11. Disclaimers

The Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.

12. Limitation of liability

To the fullest extent permitted by law, Next Deal and its team will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from or related to your use of the Services. Our total liability for any claim relating to the Services will not exceed the amount you paid us (if any) for the Services giving rise to the claim in the twelve months before the claim.

13. Indemnification

You agree to indemnify and hold harmless Next Deal from any claims, losses, or expenses (including reasonable legal fees) arising from your Client Content, your use of the Services, or your violation of these Terms.

14. Termination

We may suspend or terminate your access to the Services at any time if you violate these Terms or if we discontinue the Services. You may stop using the Services at any time. Provisions that by their nature should survive termination will survive.

15. Governing law

These Terms are governed by the laws of the jurisdiction in which Next Deal operates, without regard to conflict-of-laws principles. Any disputes will be resolved in the courts located in that jurisdiction, unless applicable law requires otherwise.

16. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Services after changes take effect means you accept the revised Terms.
